Director, Global Mergers & Acquisitions

Based in Montreal’s downtown Corporate Office, you will report to the Global Head of Mergers & Acquisitions (M&A).

The responsibilities include the coordination and execution of the M&A transactions according to mandates defined by Corporate. Transactions are divided in acquisitions, disposals, joint-ventures for multiple commercial projects and major strategic partnerships worldwide for all of Bombardier Inc.

The M&A activities consist in the overall assessment and financial valuation of targets, the structuring of deals with the support of Legal and Tax, the support of Bombardier Corporate Office, Aerospace, Transportation and Divisions in setting-up carve-out/integration plans and the post-closing review of transactions.

As a Director, Mergers & Acquisitions, you will be responsible for:

- Leading the M&A process including the coordination with Bombardier Corporate Office, Bombardier Aerospace, Bombardier Transport and Divisions. In particular develop together with the requestor the Business Cases including all elements necessary to take a decision as to whether the transaction shall be pursued or not.
- Leading the due diligence activities, including the management of external resources, where applicable in collaboration with Legal, Tax and all other relevant functions. In particular challenge each function to make sure that they have reviewed their relevant scope. Execute sanity checks on due diligence reports to make sure that they include the following information (example of an acquisition or joint-venture):

- Reassessment of the value of the business or partner (validate the original assumptions, new elements that drive the value up or down, specific risks etc.)
- Integration plan of the business or collaboration with the JV partner (how will the new combined strategy be run in terms of product, people, clients, service organization, suppliers, actions to be taken to limit exposure to identified risks)
- Identification of issues that need to be specifically covered during negotiations

- Leading the drafting and the negotiations of non-binding and binding documentation including but not limited to Memorandums of Understanding, Letters of Intent, Share Purchase Agreements, Asset Purchase Agreements, Shareholder Agreements, etc.). It includes the review of legal as well as financial provisions (purchase price definition, post-closing price adjustments, etc.).
- Leading the continuous improvement of the M&A process and of tools used to execute and report to Executive Management about transactions. This includes but is not limited to the development of Business Case templates and the development of valuation models (generic discounted cash flow valuation / multiples based financial models for each Division).
- Collect market intelligence through regular meetings with investment bankers, consultants, etc.

Requirements:

Qualifications

As our ideal candidate,

· You have a minimum of 8 to 10 years of relevant professional experience;

· You have an undergraduate degree: Finance, Engineering or Commerce;

· A professional designation: CA, CFA or an MBA;

· You have a solid experience in a deal environment including valuation analysis, deal structuring, due diligence, negotiations and closing of transactions;

· You have strong analytical skills;

· You have strong financial modelling capabilities with a high degree of detail orientation;

· You have excellent business acumen and ability to influence;

· You have proven leadership and teamwork track-record in a multi-functional context;

· You are able to work within short deadlines and under pressure;

· You have excellent spoken and written communication skills in both French and English;

· You are flexible in your schedule and available to travel up to 50% of your time;

· You have excellent knowledge of MSOffice applications (Word, Excel and PowerPoint);

· Knowledge of Bloomberg would be an asset.
